On February 15, 2018, Jean S. Blackwell confirmed to the Board of Directors of Essendant Inc. (the “Company”) her intention to retire from the Board of Directors effective May 24, 2018, the date of the Registrant’s Annual Meeting of Stockholders. Ms. Blackwell has been a director of the Company since 2007. There are no disagreements between Ms. Blackwell and the Registrant on any matter relating to the Registrant’s operations, policies or practices.
