Amendment to Articles of Incorporation or Bylaws; Change in |
On December 13, 2016, the Board of Directors (the Board) of
Essendant Inc. (the Registrant) adopted amendments to Section 2.5
of the Registrants Amended and Restated Bylaws (the Bylaws). The
amendments modify the information required to be included in a
stockholders notice of business or nomination to be brought at a
meeting of the Registrants stockholders. The amendments also add
to Section 2.5 of the Bylaws a requirement that the stockholders
notice for nominating a candidate for election or re-election to
the Registrants board of directors be accompanied by specific
information from the person nominated by such stockholder for
election as a director.The amendments also require the updating
of information required to be provided to the Registrant.
The Bylaws of the Registrant, as amended to reflect the changes
described above, are filed as Exhibit 3.1 to this report. The
foregoing description of the amendments to Section 2.5 is
qualified in its entirety by the full text of Section 2.5
included in the Bylaws.
