Item 5.03 Amendments to Articles of Incorporation or Bylaws

On March14, 2018, the Board of Trustees of Equity Commonwealth (the “Company”) approved the filing with the State Department of Assessments and Taxation of the State of Maryland (“SDAT”) of Articles Supplementary (the “Articles Supplementary”) redesignating and reclassifying the Company’s 11,500,000 SeriesE Preferred Shares as unclassified preferred shares. All of the Company’s outstanding SeriesE Preferred Shares were redeemed in Mayof 2016 and no SeriesE Preferred Shares were issued since that time. The Company filed the Articles Supplementary with SDAT on March14, 2018.
