Other Events.

On May16, 2017, EPR Properties (the Company) issued a press
release announcing that it had priced an underwritten public
offering of $450million of 4.500% Senior Notes due 2027. The
Companys press release is attached as Exhibit 99.1 hereto and
incorporated herein by reference.
