EPR Properties (NYSE:EPR) Files An 8-K Entry into a Material Definitive Agreement
Item 1.01. Entry into a Material Agreement.

On April9, 2018, EPR Properties (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with Citigroup Global Markets Inc., J.P. Morgan Securities LLC and Barclays Capital Inc., for themselves and as representatives of the several underwriters named therein, in connection with the Company’s issuance and sale of $400,000,000 aggregate principal amount of 4.950% Senior Notes due 2028. The Company has filed a prospectus supplement in connection with the offering, dated April9, 2018, and filed with the Securities and Exchange Commission on April11, 2018.

The Underwriting Agreement contains customary representations, warranties and covenants and includes the terms and conditions for the sale of the notes, indemnification and contribution obligations and other terms and conditions customary in agreements of this type.
