(d) Appointment of New Director.

On July 21, 2017, Lori A. Lancaster was appointed to the Board of Directors of Energen Corporation to serve for a term commencing July 21, 2017, and continuing until the next annual meeting of shareholders. Ms. Lancaster fills the vacancy created by the resignation of T. Michael Goodrich from the Board of Directors in May 2017. The press release announcing the appointment is attached hereto as Exhibit 99.1. Ms. Lancaster was also appointed to serve on the Audit Committee.
