Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 8, 2017, Eleven Biotherapeutics, Inc. (the “Company”) and Arthur P. DeCillis, M.D., the Company’s Chief Medical Officer, entered into an amendment to the employment letter agreement, dated September 20, 2016, by and between the Company and Dr. DeCillis (the “Amendment”). The Amendment provides for, among other things, a one-time cash performance bonus to Dr. DeCillis in the amount of $100,000, payable in two installments of $50,000 on July 1, 2017 and $50,000 on September 1, 2017, with each such installment subject to the achievement of certain performance objectives as determined by the Compensation Committee of the Board of Directors of the Company.
The foregoing description of the Amendment is not complete and is qualified in its entirety by reference to the Amendment, a copy of which will be filed as an exhibit to the Company’s Quarterly Report on Form 10-Q for the period ended June 30, 2017.
