On July5, 2017, Egalet Corporation (the “Company”) issued a press release announcing its intention to offer and sell shares of its common stock and accompanying warrants in an underwritten public offering, subject to market conditions and other factors. “At-The-Market” Facility Sales

to the Company’s Controlled Equity OfferingSMSales Agreement, dated July2, 2015, with Cantor Fitzgerald& Co. during the second quarter of 2017, the Company sold an aggregate of 938,556 shares of common stock resulting in net proceeds of approximately $2.8 million.
