Item2.02 Results of Operations and Financial Condition.

On May25, 2017, DXC Technology Company (the
Company) issued a press release reporting the
preliminary financial results of Computer Sciences Corporation
(CSC), a wholly owned subsidiary of the Company,
for the fourth quarter ended March31, 2017. Because CSC is deemed
the acquiror for accounting purposes under U.S. generally
accepted accounting principles for the combination of CSC and the
Enterprise Services business of Hewlett Packard Enterprise
Company, CSC is considered the Companys predecessor, and the
historical financial statements of CSC prior to April1, 2017 will
be reflected in the Companys future quarterly and annual reports
as the Companys financial statements. The press release is
attached hereto as Exhibit 99.1 and is incorporated herein by
reference and made a part hereof.
