On March21, 2017, Dominion Resources, Inc. (the Company) entered
into an underwriting agreement (the Underwriting Agreement) with
Morgan Stanley Co. International plc, as Representative for the
underwriters named in the Underwriting Agreement, for the sale of
$100,000,000 aggregate principal amount of the Companys 2015
Series B 3.90% Senior Notes due 2025 (the Series B Senior Notes).
The Series B Senior Notes are Senior Debt Securities that were
registered by the Company to a registration statement on Form S-3
under Rule 415 under the Securities Act of 1933, as amended,
which registration statement became effective on December19, 2014
(File No.333- 201149). A copy of the Underwriting Agreement,
including exhibits thereto, is filed as Exhibit 1.1 to this Form
8-K.
The Series B Senior Notes will be issued under the Second
Supplemental Indenture, dated as of September1, 2015, to the
Companys June1, 2015 Senior Indenture.
