Item 3.02 Unregistered Sales of Equity Securities.

On February 21, 2017, the Company sold five Units to an
individual accredited investor at a price of $50,000 per Unit,
each Unit consisting of 285,715 shares of the Companys common
stock and a three (3) year warrant to purchase 142,857 shares of
the Companys common stock at an exercise price of $0.26 per
share. Proceeds to the Company from the sale of the Units in the
offering were $250,000. The sale of the Units to the investor was
exempt from registration to Section 4(a)(2) of the Securities Act
of 1933 and Regulation D promulgated thereunder.
