Item 4.01. Changes in Companys Certifying Accountant.
(a) Effective January 26, 2017, Digipath, Inc. (the Company)
dismissed Anton Chia, LLP (AC) as the Companys independent
registered public accounting firm. The dismissal was recommended
and approved by the Companys board of directors.
The reports of AC regarding the Companys consolidated financial
statements for each of the two most recent fiscal years of the
Company did not contain an adverse opinion or disclaimer of
opinion and were not qualified or modified as to uncertainty,
audit scope, or accounting principles, except that such reports
contained an explanatory paragraph with respect to uncertainty as
to the Companys ability to continue as a going concern.
During the two most recent fiscal years of the Company and
through January 26, 2017, there were (i) no disagreements between
the Company and AC on any matter of accounting principles or
practices, financial statement disclosure, or auditing scope or
procedure, which disagreements, if not resolved to the
satisfaction of AC, would have caused AC to make reference
thereto in their reports on the Companys consolidated financial
statements for such years, and (ii) no reportable events as that
term is defined in Item 304(a)(1)(v) of Regulation S-K.
The Company provided AC with a copy of the disclosure in the
preceding two paragraphs and requested in writing that it furnish
the Company with a letter addressed to the Securities and
Exchange Commission stating whether or not it agrees with such
disclosures. AC provided a letter, dated January 27, 2017,
stating its agreement with such statements as related to AC,
which is attached as Exhibit 16 to this Form8-K.
(b) On January 26, 2017, the Company engaged MK CPAS, PLLC (MK)
to serve as the Companys independent registered public accounting
firm for the fiscal year ending September 30, 2017.
During the Companys two most recent fiscal years ended September
30, 2016 and 2015 and the subsequent interim period through
January 26, 2017, neither the Company nor anyone acting on its
behalf consulted with MK regarding: (i) the application of
accounting principles to a specified transaction, either
completed or proposed; (ii) the type of audit opinion that might
be rendered on the Companys financial statements by MK, nor did
MK provide written or oral advice to the Company that MK
concluded was an important factor considered by the Company in
reaching a decision as to any accounting, auditing or financial
reporting issues; or (iii) any other matter that was the subject
of a disagreement or reportable event (as such terms are
described in Items 304(a)(1)(iv) and (v) of Regulation S-K).

On January 26, 2017, the Company appointed Dr. Alfredo Axtmayer
to serve as a director of the Company. [There are no arrangements
or understandings with Dr. Axtmayer to which he was appointed as
a director, or any related party transactions between the Company
and Dr. Axtmayer that are subject to disclosure under Item 404(a)
of Regulation S-K.] [Confirm]
