On March 4, 2019, Denbury Resources Inc. (the “Company”) issued a press release announcing it has established a record date of February 19, 2019 and a meeting date of April 17, 2019 for the special meeting of its stockholders to consider and vote upon a proposal to approve (i) the issuance of shares of the Company’s common stock, par value $0.001 per share (“Common Stock”), to shareholders of Penn Virginia Corporation (“Penn Virginia”) in connection with the merger contemplated by the previously announced Agreement and Plan of Merger, dated as of October 28, 2018, by and among the Company, Dragon Merger Sub Inc., DR Sub LLC and Penn Virginia (the “Merger”) and (ii) an amendment to the Company’s Second Restated Certificate of Incorporation to increase the number of shares of Common Stock authorized for issuance from 600,000,000 shares to 984,000,000 shares. The press release also announced that the Company has filed a definitive joint proxy statement/prospectus with the U.S. Securities and Exchange Commission (the “SEC”) in connection with the Merger and special meeting, and that the Company and Penn Virginia commenced mailing of the definitive joint proxy statement/prospectus to their respective stockholders and shareholders on or about March 4, 2019.

Denbury Resources Inc. is an independent oil and natural gas company. The Company’s operations are focused on two operating areas: the Gulf Coast and Rocky Mountain regions. Its properties with proved and producing reserves in the Gulf Coast region are situated in Mississippi, Texas, Louisiana and Alabama, and in the Rocky Mountain region are situated in Montana, North Dakota and Wyoming. It has estimated proved oil and natural gas reserves of over 288.6 million barrels of oil equivalent (MMBOE). Its primary Gulf Coast carbon dioxide (CO2) source is Jackson Dome, which is located near Jackson, Mississippi. Its mature group of properties includes the initial CO2 field, Little Creek, as well as various other fields, including Brookhaven, Cranfield, Eucutta, Lockhart Crossing, Mallalieu, Martinville, McComb and Soso fields. Its LaBarge Field is located in southwestern Wyoming. It holds interest in LaBarge Field, which consists of over 1.2 trillion cubic feet of proved CO2 reserves.
