(b)    On March 29, 2017, Roger J. Valine, a member of the Board of Directors (the “Board”) of DaVita Inc. (the “Company”) since 2006, notified the Board that he plans to retire from the Board and therefore will not stand for re-election at the Company’s 2017 Annual Meeting of Stockholders to be held in June 2017 (the “2017 Annual Meeting”). Mr. Valine has indicated his intention to continue to serve as a director of the Company until the expiration of his current term at the 2017 Annual Meeting. Mr. Valine’s decision not to stand for re-election at the Annual Meeting was not due to any disagreement with the Company.
