On October 11, 2017, DASAN Zhone Solutions, Inc. (formerly known as Zhone Technologies, Inc.) (the “Company”) filed a Current Report on Form 8-K (the “Original Form 8-K”) with the Securities and Exchange Commission to report that, on October 10, 2017, the Company entered into an Amended and Restated Employment Agreement (the “Restated Employment Agreement”) with Il Yung Kim, the Company’s President, Chief Executive Officer and Acting Chief Financial Officer.

This Amendment No. 1 on Form 8-K/A (this “Amendment”) is being filed solely to correct a typographical error in the Original Form 8-K. In the Original Form 8-K, the expiration date of the Restated Employment Agreement was incorrectly stated as October 10, 2017. The Restated Employment Agreement has a three-year term expiring on October 10, 2020. Other than this correction, no other changes have been made to the Original Form 8-K. This Amendment should be read in conjunction with the Original Form 8-K.
