As previously announced, during the first quarter of 2017 a
subsidiary of Dana Incorporated (Dana) entered into a
definitive agreement to purchase the axle housing and driveline
shaft manufacturing operations of U.S. Manufacturing Corporation
conducted at its Warren, Michigan facility. Danas acquisition of
these operations closed on March1, 2017.

A copy of Danas press release related to the closing is attached
to this Current Report on Form 8-K as Exhibit 99.1 and is
incorporated herein by reference.
