At the annual meeting of stockholders of CYS Investments, Inc.
(the Company) held on May12, 2017, the stockholders: (i)elected
the eight nominated directors, (ii)approved, on an advisory
basis, the compensation of the Companys named executive officers,
and (iii)ratified the appointment of Deloitte Touche LLP as the
Companys independent registered public accounting firm for the
year ending December31, 2017. As of March15, 2017, the record
date for the annual meeting of stockholders, there were
151,707,792 shares of common stock outstanding and entitled to
vote.

About CYS Investments, Inc. (NYSE:CYS)
CYS Investments, Inc. is a specialty finance company. The Company invests in agency residential mortgage-backed security (Agency RMBS) collateralized by fixed rate single-family residential mortgage loans; adjustable-rate mortgages (ARMs), which have coupon rates that reset monthly, or hybrid ARMs, which have a coupon rate that is fixed for an initial period (approximately three, five, seven or 10 years). In addition, the Company permits investments in collateralized mortgage obligations (CMOs) issued by a Government agency or Government-sponsored entity that are collateralized by Agency RMBS, although it has not invested in any CMOs. In addition to Agency RMBS, the Company invests in the United States Treasuries.
