On September15, 2017, CYS Investments, Inc. (the “Company”) filed with the Securities and Exchange Commission a prospectus supplement (the “Prospectus Supplement”) to the Company’s automatic shelf registration statement on Form S-3ASR (No. 333-218161), registering 10,000,000 shares of the Company’s common stock to be offered to the Company’s Dividend Reinvestment and Direct Stock Purchase Plan (the “DRSPP”).

Attached as Exhibit 5.1 to this Current Report is a copy of the opinion of Venable LLP regarding certain Maryland law matters, including the validity of the common stock offered to the Prospectus Supplement. Attached as Exhibit 8.1 to this Current Report is a copy of the opinion of Vinson& Elkins L.L.P. regarding certain tax matters in connection with the Prospectus Supplement.

About CYS Investments, Inc. (NYSE:CYS)

CYS Investments, Inc. is a specialty finance company. The Company invests in agency residential mortgage-backed security (Agency RMBS) collateralized by fixed rate single-family residential mortgage loans; adjustable-rate mortgages (ARMs), which have coupon rates that reset monthly, or hybrid ARMs, which have a coupon rate that is fixed for an initial period (approximately three, five, seven or 10 years). In addition, the Company permits investments in collateralized mortgage obligations (CMOs) issued by a Government agency or Government-sponsored entity that are collateralized by Agency RMBS, although it has not invested in any CMOs. In addition to Agency RMBS, the Company invests in the United States Treasuries. The Company also invests in debt securities issued by the United States Department of the Treasury or a Government-sponsored entity that is not backed by collateral.
