As previously reported in a Current Report on Form 8-K filed by CSX Corporation (the “Company”) on March22, 2018, Angela C. Williams was appointed Vice President and Controller of the Company.

In connection with Ms.Williams appointment, the Company entered into a Change of Control Agreement (the “Change in Control Agreement”) with Ms.Williams on April5, 2018. It generally provides that Ms.Williams will be entitled to two times her annual base salary plus target bonus in the event she (i)is terminated other than for cause, (ii)resigns for good reason, or (iii)experiences a constructive termination, in each case within three years of a change in control of the Company.
