(b) On January5, 2018, Diane Fulton informed the Board of Directors (the “Board”) of CPI Card Group Inc. (the “Company”) of her decision not tostand for reelectionto the Board at the Company’s 2018 Annual Meeting of Stockholders. Ms.Fulton will continue to serve through the remainder of her current term. Ms.Fulton’s decision was not related to any disagreement with the Company on any matter relating to its strategy, leadership, operations, policies or practices.
