On January10, 2018, Coupa Software Incorporated (the “Company”) issued a press release announcing that it proposes to offer, subject to market conditions and other factors, convertible senior notes due 2023 in an aggregate principal amount of $200million. The Company also intends to grant to the initial purchasers of the notes an option to purchase up to an additional $30million aggregate principal amount of notes.
