Departure of Directors or Certain Officers; Election
of Directors; Appointment of Certain Officers; Compensatory
Arrangement of Certain Officers.

On June21, 2017 the Board of Directors of Commercial Metals
Company (the Company) announced that effective September1, 2017,
Barbara Smith will assume the role of President and Chief
Executive Officer of the Company and will become a member of the
board of directors. Ms.Smith joined the Company in May 2011 as
Senior Vice President and Chief Financial Officer, and was
appointed Chief Operating Officer in January 2016 and President
and Chief Operating Officer in January 2017. Prior to joining the
Company, Ms.Smith served as Vice President and Chief Financial
Officer of Gerdau Ameristeel Corporation, a mini-mill steel
producer. Her experience also includes more than 20 years with
Alcoa in various leadership roles across a variety of Alcoas
businesses.

Joe Alvarado will continue to serve the Company as Chief
Executive Officer through August31, 2017 and will continue to
serve as Chairman of the Board through the Companys annual
meeting of stockholders on January10, 2018.

There are no arrangements or understandings between Ms.Smith and
any other persons to which Ms.Smith was named President and Chief
Executive Officer of the Company or appointed as a member of the
board of directors. Ms.Smith does not have any family
relationship with any of the Companys directors or executive
officers or any persons nominated or chosen by the Company to be
a director or executive officer. Ms.Smith does not have any
direct or indirect material interest in any transaction or
proposed transaction required to be reported under Item404(a) of
Regulation S-K or Item5.02(c) of Form 8-K. Ms.Smith is not
expected to be appointed to any committees of the board of
directors at this time.

Regulation FD Disclosure.

On June26, 2017, the Company issued a press release (the Press
Release) announcing that effective September1, 2017, Ms.Smith
will assume the role of President and Chief Executive Officer of
the Company and become a member of the board of directors. A copy
of the Press Release is attached hereto as Exhibit 99.1.
