On May 2, 2017, Columbia Property Trust, Inc. (the Company) filed
the Fifth Articles of Amendment (the Charter Amendment) to its
Second Articles of Amendment and Restatement (the Charter) with the
State Department of Assessments and Taxation of Maryland. The
Charter Amendment amends Section 5.5 of Article V of the Charter to
clarify that the Companys stockholders have the power to amend
Columbias bylaws and was approved by the Companys stockholders at
the Companys 2017 annual meeting of stockholders held on May 2,
2017.
