Effective September 20, 2017, the Board of Directors (the “Board”) of Coach, Inc., a Maryland corporation (the “Company”), approved an amendment and restatement ofthe Company’s Bylaws (the “Bylaws”) to provide stockholders with the concurrent right to amend, alter or repeal any provision of the Bylaws and adopt new Bylaws, but only with the approval of a majority of the votes entitled to be cast on the matter. The Board retained the concurrent right to amend, alter or repeal any provision of the Bylaws and adopt new Bylaws.
