Effective September 20, 2017, the Board of Directors (the “Board”) of Coach, Inc., a Maryland corporation (the “Company”), approved an amendment and restatement ofthe Company’s Bylaws (the “Bylaws”) to provide stockholders with the concurrent right to amend, alter or repeal any provision of the Bylaws and adopt new Bylaws, but only with the approval of a majority of the votes entitled to be cast on the matter. The Board retained the concurrent right to amend, alter or repeal any provision of the Bylaws and adopt new Bylaws.

Coach, Inc. (Coach) is a design house of luxury accessories and lifestyle collections. The Company’s product offering uses a range of leathers, fabrics and materials. Its segments include North America, International and Stuart Weitzman. The North America segment includes sales of Coach brand products to North American customers through Coach-operated stores (including the Internet) and sales to North American wholesale customers.
