Item 5.02 Departure Of Directors Or Certain Officers; Election Of Directors; Appointment Of Certain Officers; Compensatory Arrangements Of Certain Officers.

On July 14, 2016, Clearfield, Inc. (the “Company”) filed a Current Report on Form 8-K (“Original Report”) to report the appointment of Roger Harding to the Board of Directors of the Company on July 14, 2016. This Amendment on Form 8-K/A is being filed to update and supplement the Original Report to disclose the committees of the Board of Directors to which Mr. Harding has been named.

Upon recommendation of the Nominating and Governance Committee of the Board of Directors of the Company, the Board of Directors appointed Roger Harding to the Audit Committee and the Nominating and Governance Committee effective August 16, 2017.
