On February28, 2018, Clear Channel Outdoor Holdings, Inc. (the “Company”) filed a Current Report on Form 8-K (the “Original Current Report”) to disclose the approval of bonus payments for the Company’s named executive officers. The Original Current Report incorrectly stated that the bonus payments were approved by the Compensation Committee of the Board of Directors of the Company. This amendment on Form 8-K/A is being filed solely to correct this error and state that the bonuses were approved by the Compensation Committee of the Board of Directors of iHeartMedia, Inc., the indirect parent of the Company. All references to “Compensation Committee” in the Original Current Report are references to the Compensation Committee of the Board of Directors of iHeartMedia, Inc. This amendment does not otherwise update, modify or amend the Original Current Report.
