Item 1.03 Bankruptcy or Receivership.

On March14, 2018, iHeartMedia, Inc., the indirect parent of Clear Channel Outdoor Holdings, Inc. (“CCOH”), and certain of its subsidiaries listed on Exhibit 99.1 hereto (collectively, the “Debtors”), filed voluntary petitions for reorganization under Chapter11 of the United States Bankruptcy Code (the “Bankruptcy Code”) in the United States Bankruptcy Court for the Southern District of Texas, Houston Division (the “Court”). CCOH and its direct and indirect subsidiaries did not file Chapter 11 cases.

iHeartMedia, Inc.’s Chapter 11 case is being administered under the caption In re: iHeartMedia, Inc., Case No.18-31274 (MI). The Debtors have filed a motion with the Court seeking to jointly administer all of the Debtors’ Chapter 11 cases under the caption In re: iHeartMedia, Inc., et al. The Debtors will continue to operate their businesses as “debtors-in-possession” under the jurisdiction of the Court and in accordance with the applicable provisions of the Bankruptcy Code and orders of the Court.
