On February 24, 2017, the Company filed a Certificate of Change
with the Secretary of State of the State of Nevada which (i)
effected a one-for-four reverse split of the common stock and
(ii) reduced the number of authorized shares of common stock, par
value $0.001 per share, from 50,000,000 shares to 12,500,000
shares. The reverse split and change in authorized common stock
was approved by the board of directors on February 22, 2017.
The reverse split will become effective in the marketplace,
subject to Nasdaq approval, on March 10, 2017. No fractional
shares shall be issued. Any fractional shares will be rounded up
to the next higher whole number of shares.
