On September 29, 2017, Edward H. Owlett, III, a director of Citizens & Northern Corporation (the "Company") and its wholly-owned banking subsidiary, Citizens & Northern Bank (the "Bank"), communicated to the Chairman of the Governance and Nominating Committee of the Board of Directors of the Company his intent not to stand for nomination and re-election as a director of the Company at the Company's annual meeting of shareholders in 2018.
