On June 30, 2017, CIT Group Inc. (“CIT” or the “Company”) issued a press release announcing that it had reached a definitive agreement to sell Nacco, its European rail leasing business, to German-based VTG Aktiengesellschaft (“VTG”), which was subject to regulatory approvals. Based on discussions with the German Federal Cartel Office, VTG announced on January 25, 2018 that merger clearance may be subject to material conditions, which may include the disposal of significant parts of the Nacco business. The terms of any such disposal has not yet been determined. The total proceeds for the transaction remain unchanged and, subject to the satisfaction of any regulatory conditions by VTG, CIT expects that the transaction will close in the second half of 2018.
