Cipherloc Corporation (OTCMKTS:CLOK) Files An 8-K Entry into a Material Definitive Agreement
Item 1.01. Entry into a Material Definitive Agreement.
On August 8, 2019, Cipherloc Corporation (the “Company”) informed Ageos, LLC (“Ageos”) that it has terminated the Operating Agreement between the Company and Ageos dated April 18, 2019 for various material breaches, effective immediately.
Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers
On August 22, 2019, the Board of Directors of the Company, to the Amended and Restated Bylaws, increased the size of the Board to 7 members and appointed Zeynep Young and David Chasteen as directors of the Company. Each of Ms. Young and Mr. Chasteen will receive a non-qualified stock option to purchase 50,000 shares of common stock of the Company.
There are no transactions involving the Company and any of Ms. Young and Mr. Chasteen that are required to be disclosed to Item 404(a) of Regulation S-K. The press release announcing the Board additions is attached to this Current Report on Form 8-K as Exhibit 99.1 and incorporated into this Item 5.02 by reference.
Item 5.03. Amendments to Articles of Incorporation or Bylaws: Change in Fiscal Year.
On August 22, 2019, the Board of Directors of the Company approved the Amended and Restated Bylaws of the Company. A copy of the Amended and Restated Bylaws of the Company is attached hereto as Exhibit 3.1 and is incorporated herein by reference.
