Item 8.01 Other Events.

Century Aluminum Company (the “Company”) intends to file a Registration Statement on Form S-3 (the “Universal Shelf Registration Statement”) with the Securities and Exchange Commission to which the Company may, from time to time, offer an indeterminate amount of securities, which may include securities that are guaranteed by certain of the Company's subsidiaries. The Company is filing this Current Report on Form 8-K to provide supplemental guarantor financial information to Rule 3-10 of Regulation S-X.

The Company is disclosing condensed consolidating financial information of its subsidiaries in a new Note20 to its previously issued consolidated financial statements contained in its Annual Report on Form 10-K for the year ended December 31, 2016 (the "2016 Form 10-K") and a new Note 16 to its previously issued consolidated financial statements contained in its Quarterly Report on Form 10-Q for the three months ended March 31, 2017 (the "2017 Form 10-Q") These consolidated financial statements, as updated to include new Note20 and Note 16, are filed as Exhibits 99.1 and 99.2, respectively, to this Current Report on Form 8-K.

The Company is filing this Form 8-K for the sole purpose of incorporating its contents and the exhibits hereto into the Universal Shelf Registration Statement. All other information in the Company's 2016 Form 10-K and 2017 Form 10-Q remains unchanged. This Current Report on Form 8-K does not modify or update the disclosures in the 2016 Form 10-K or 2017 Form 10-Q, nor does it reflect any subsequent information or events, other than the inclusion of the supplemental guarantor financial information. The consolidated financial statements filed herewith under Exhibits99.1 and 99.2 should be read in conjunction with the 2016 Form 10-K, 2017 Form 10-Q and the Company’s other filings made with the SEC subsequent to the filing of the 2016 Form 10-K and 2017 Form 10-Q.

About Century Aluminum Company (NASDAQ:CENX)

Century Aluminum Company (Century) is a holding company, which is a producer of primary aluminum and operates aluminum reduction facilities, or smelters, in the United States and Iceland. The Company operates through primary aluminum segment. Its primary aluminum facilities produce standard grade primary aluminum products. Its annual primary aluminum production capacity is approximately 1,013,000 tons per year (tpy). Its principal subsidiaries are Century Kentucky, Inc. (CAKY), Nordural ehf (Nordural), Century Aluminum Sebree LLC (Century Sebree), Century Aluminum of South Carolina (CASC) and Century Aluminum of West Virginia, Inc. (Century of West Virginia). Its CAKY operates a primary aluminum reduction facility in Hawesville, Kentucky (Hawesville). Nordural Grundartangi ehf, a subsidiary of Nordural, operates a primary aluminum reduction facility in Grundartangi, Iceland (Grundartangi). Its Mt. Holly, located in Goose Creek, South Carolina, is a primary aluminum reduction facility.
