A special meeting of stockholders of Centene Corporation (“Centene”) was held on June 24, 2019 (the “Special Meeting”). The Special Meeting was held in order to vote upon the following proposals set forth in the joint proxy statement/prospectus of Centene and WellCare Health Plans, Inc. (“WellCare”) included in the registration statement on Form S-4 filed by Centene with the Securities and Exchange Commission on May 23, 2019, as supplemented, in connection with Centene’s previously announced proposed acquisition of WellCare to the Agreement and Plan of Merger, dated as of March 26, 2019, by and among Centene, Wellington Merger Sub I, Inc., Wellington Merger Sub II, Inc. and WellCare (the “Merger Agreement”):
Proposal 1: To approve the issuance of Centene common stock, par value $0.001 per share, to the Merger Agreement (the “Share Issuance Proposal”); and
Proposal 2: To approve the adjournment of the Special Meeting from time to time, if necessary or appropriate, to solicit additional proxies in the event there are not sufficient votes at the time of the Special Meeting to approve the Share Issuance Proposal (the “Adjournment Proposal”).
At the Special Meeting, Centene’s stockholders approved the Share Issuance Proposal. In addition, sufficient votes were received to approve the Adjournment Proposal, but an adjournment was not necessary in light of the approval of the Share Issuance Proposal.
Completion of the merger contemplated by the Merger Agreement remains subject to the satisfaction of the remaining closing conditions contained in the Merger Agreement.
As of May 8, 2019, the record date for the Special Meeting, there were 413,366,930 shares of Centene’s common stock outstanding and entitled to vote at the Special Meeting.
