Item 8.01Other Events.

On November 13, 2017, CBS Corporation (the “Company”) issued a press release announcing that it planned to offer senior notes in a private offering. A copy of the press release is filed as Exhibit 99.1 to this report and is incorporated by reference in this Item 8.01.

On November 13, 2017, the Company issued a press release announcing the pricing of its private offering of $400 millionprincipalamount of 2.900%senior notes due 2023 and $500 millionprincipalamount of 3.700%senior notes due 2028 (collectively, the “senior notes”). A copy of the press release is filed as Exhibit 99.2 to this report and is incorporated by reference in this Item 8.01.

The senior notes will be offered and sold only to qualified institutional buyers in the United States under Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and to non-U.S. persons in transactions outside the United States to Regulation S under the Securities Act. The senior notes have not been registered under the Securities Act or the securities laws of any other jurisdiction, and may not be offered or sold absent registration or an applicable exemption from the registration requirements of the Securities Act and the securities laws of any other applicable jurisdiction. This Current Report on Form 8-K does not constitute an offer to sell, or the solicitation of an offer to buy, the senior notes, nor shall there be any sale of the senior notes in any state or jurisdiction in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such state or jurisdiction.
