Representatives Warrant
to the Underwriting Agreement, the Company issued to the
Underwriter a warrant (the Representatives Warrant) for the
purchase of an aggregate of 156,250 shares of Common Stock for an
aggregate purchase price of $100. The exercise price of the
Representatives Warrant is equal to 125% of the public offering
price in the Offering, or $6.00 per share of Common Stock.
The form of Representatives Warrant is included in Exhibit 1.1
and is incorporated into this Item 1.01 by reference. The
foregoing description of the Representatives Warrant is qualified
in its entirety by reference to the full text of the

On April 25, 2017, the Company issued a press release announcing
the Offering, and that its Common Stock had been approved to
trade on the Nasdaq Capital Market under the symbol CATS
