Results of Operations and Financial Condition.

On August 10, 2017, Broadridge Financial Solutions, Inc. (the “Company”) inadvertently filed its Third Quarter Earnings Webcastand Conference Call Presentation instead of its Fourth Quarter and Fiscal Year 2017 Earnings Webcast and Conference Call Presentation (the “Fourth Quarter Presentation”). This Amendment No. 1 on Form 8-K/A (“Amendment No. 1”) replaces Exhibit 99.2 attached to the Company’s Current Report on Form 8-K filed with the Securities and Exchange Commission (the “SEC”) on August 10, 2017 with the Fourth Quarter Presentation.

A copy of the Fourth Quarter Presentation is being furnished as Exhibit 99.2 attached hereto and is incorporated herein by reference. The information furnished to Items 2.02, and 9.01, including Exhibit 99.2 shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934 (the “Exchange Act”) or otherwise subject to the liabilities under that Section, and shall not be deemed to be incorporated by reference into any filing of the Company under the Securities Act of 1933 or the Exchange Act.
