Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 14, 2019, Daniel P. Nolan resigned from the Board of Directors of Boston Private Financial Holdings, Inc. and any committees thereof effective immediately. Mr. Nolan also resigned as a director of the Board of Directors of Boston Private Bank & Trust Company, effective immediately. There were no disagreements with management or the Board of Directors.
