Item 8.01. Other Events.

On January9, 2018, Chicago Concourse Development Group, LLC, a subsidiary of Boingo Wireless,Inc. (collectively, the “Company”), entered into an agreement to amend (the “Agreement to Amend”) with the City of Chicago (the “City”), to which the Company and the City agreed to negotiate the terms of an amendment to the License Agreement for Wireless Communications Access System, dated November17, 2005 (the “Chicago Agreement”). The Agreement to Amend was effective December31, 2017. The terms of any such amendment may include technical and operational terms acceptable to both parties. If the Company and the City are unable to amend the Chicago Agreement by March31, 2018, then we expect that it could terminate in accordance with its terms.
