On June 20, 2017, John S. Varley notified BlackRock, Inc. (the
Company) of his resignation from the board of directors (the
Board) of the Company effective immediately. Mr. Varleys decision
to resign was not a result of any disagreement with the Company,
the Companys management or the Board.
