Results of Operations and Financial
Condition

On April 24, 2017, Berkshire Hills Bancorp, Inc. (the Company),
the holding company for Berkshire Bank (the Bank), announced its
financial results for the quarter ended March 31, 2017. The news
release containing the financial results is included as Exhibit
99.1 and shall not be deemed filed for any purpose.

The Company will conduct a conference call/webcast on April 25,
2017 to discuss the financial results for the quarter. A
telephone replay of the call will be available through Tuesday,
May 2, 2017. The webcast will be available on the Companys
website for an extended period of time.

Item 8.01 Other Events

On April 24, 2017, the Companys Board of Directors declared a
cash dividend of $0.21 per share to shareholders of record at the
close of business on May 11, 2017 and payable on May 25, 2017.
