Item 2.02 Results of Operations and Financial Condition

On July 19, 2017, Berkshire Hills Bancorp, Inc. (the “Company”), the holding company for Berkshire Bank (the “Bank”), announced its financial results for the quarter ended June 30, 2017. The news release containing the financial results is included as Exhibit 99.1 and shall not be deemed “filed” for any purpose.

The Company will conduct a conference call/webcast on July 20, 2017 to discuss the financial results for the quarter and provide guidance about expected future results. A telephone replay of the call will be available through Tuesday, July 27, 2017. The webcast will be available on the Company’s website for an extended period of time.

On July 19, 2017, the Company’s Board of Directors announced the declaration of a cash dividend of $0.21 per share to shareholders of record at the close of business on August 10, 2017 and payable on August 24, 2017.
