Item 1.01. Entry into a Material Definitive Agreement.

As previously noted on the Current Report on Form8-K of Bazaarvoice,Inc. (the “Company”) filed with the U.S. Securities and Exchange Commission on November 27, 2017, the Company entered into an Agreement and Plan of Merger, dated as of November 26, 2017 (as it may be amended from time to time, the “Merger Agreement”), by and among the Company, BV Parent, LLC (“Parent”) and BV Merger Sub, Inc., a wholly owned subsidiary of Parent (“Merger Subsidiary”). On December 14, 2017, the Company, Parent and Merger Subsidiary entered into a First Amendment to Agreement and Plan of Merger (the “First Amendment”), which is attached hereto as Exhibit 2.1, to amend Schedule 1.5 to the Merger Agreement to make certain technical corrections to the mechanical provisions of the treatment of unvested equity awards described therein.
