At its meeting on August27, 2018, the Board of Directors of the
Company declared a quarterly cash dividend of $0.10 per share for
the holders of its common stock and a dividend payment to the
holders of the Companys 5.50% Fixed Rate/Floating Rate
Noncumulative Preferred Stock, Series A. The Company issued a
press release on August31, 2018 regarding the dividend payments.
The dividends will be paid on September28, 2018 to shareholders
of record on September14, 2018.

Form 8-K and is incorporated herein by reference.

The Bank also offers credit life, health, auto and homeowners insurance through its subsidiary, BG Insurance, as agents for various insurance companies, and also offers retail wealth management services in collaboration with its affiliate, Money Concepts. The Bank’s lending products include commercial, real estate, construction, consumer and small business administration-guaranteed loans. It also provide home mortgage and home equity loans.
