Item 7.01 Regulation FD Disclosure.
On October 2, 2019, B. Riley Financial, Inc. (the “Company”) issued a press release announcing the commencement of its public offering of Depositary Shares, each representing 1/1000th of a share of Series A Cumulative Perpetual Preferred Stock, with a liquidation preference equivalent to $25.00 per depositary share (the “Depositary Shares”). The Company expects to grant the underwriters a 30-day option to purchase additional Depositary Shares in connection with the offering solely to cover overallotments. A copy of the press release is attached hereto as Exhibit 99.1.
In addition, in connection with the public offering, the Company will be making road show presentations to certain existing and potential securityholders of the Company. The road show materials are attached hereto as Exhibit 99.2.
