On November29, 2016, Avangrid, Inc., a New York corporation (the
Company), issued a press release announcing that its indirect
wholly-owned subsidiary, New York State Electric Gas Corporation,
closed a private offering of $500 million in aggregate principal
amount of 3.25% Notes due 2026 (the Notes). The Notes are being
offered and sold in transactions exempt from registration under
the Securities Act of 1933, as amended (the Securities Act).
A copy of the press release issued by the Company is attached
hereto as Exhibit 99.1 and is incorporated herein by reference.
This current report on Form 8-K does not constitute an offer to
