On April 26, 2017, Mr. Guillaume Cerutti notified the board of directors (the “Board”) of Avadel Pharmaceuticals plc (the “Company”) of his decision to retire from the Board at the end of his current term which expires at the close of the Company’s 2017 annual meeting of shareholders, which is scheduled for June 28, 2017 (the “Shareholders’ Meeting”). As a result, Mr. Cerutti indicated that he would not stand for re-election as a member of the Board at the Shareholders’ Meeting. Mr. Cerutti’s decision to retire from the Board will allow him to devote additional time to his other activities and was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
