Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

On April 12, 2017, the Board of Directors of Auscrete Corporation (the “Company”) approved an amendment and restatement of the Company’s Articles of Incorporation attached hereto as Exhibit 3(i). The purpose of the amendment and restatement of the Articles of Incorporation was to increase the number of authorized shares of Common Stock to 5,000,000,000.

Item 5.07 Submission of Matters to a Vote of Security Holders

On April 12, 2017, the Board of Directors and holders of a majority of the voting rights of the Company’s capital stock approved a restatement of the Company’s Articles of Incorporation and Bylaws as more particularly described in Item 5.03 above.

The Company utilizes its lightweight concrete technologies in the construction of housing, as well as for commercial structures. The Company’s Auscrete aerated concrete is a light-weight cement/sand product that has a specially developed foaming agent applied during manufacture. This enables the product to have various small air bubble aggregates introduced and evenly distributed throughout the cast sections. Then there is the extruded polystyrene (XPS) insulation amalgamation, which produces a concrete that is light and fire resistant, and also has sound proofing qualities.
