Item 1.02 Termination of a Material Definitive Agreement.

As previously reported, on October22, 2016, AT&T Inc. (“AT&T”) entered into a $40billion Term Loan Credit Agreement, among AT&T, the lenders named therein and JPMorgan Chase Bank, N.A., as agent, that was subsequently amended on November15, 2016, which bifurcated the Term Loan Credit Agreement into a $30billion bridge loan (the “Bridge Loan”) and a $10billion term loan.

On June21, 2017, the commitments under the Bridge Loan were reduced to $21billion as a result of AT&T receiving net cash proceeds from the sale of certain principal amounts of its 1.050% Global Notes due 2023, 1.800% Global Notes due 2026, 2.350% Global Notes due 2029, 3.150% Global Notes due 2036, 3.550% Global Notes due 2037 and Floating Rate Global Notes due 2023.

On August7, 2017, AT&T received net cash proceeds from the sale of certain principal amounts of its 2.850% Global Notes due 2023, 3.400% Global Notes due 2024, 3.900% Global Notes due 2027, 4.900% Global Notes due 2037, 5.150% Global Notes due 2050, 5.300% Global Notes due 2058 and Floating Rate Global Notes due 2023. Following the issuance of the notes, the Bridge Loan terminated in its entirety.
