Throughout this document, ATT Inc. is referred to as ATT. On
March28, 2017, ATT closed its sale of $800,000,000 principal
amount of its Floating Rate Global Notes due 2020 (the Notes), of
which an initial $500,000,000 was to an Underwriting Agreement,
dated March23, 2017 (the First Underwriting Agreement), between
ATT and J.P. Morgan Securities LLC, as the representative of the
Underwriter, and an additional $300,000,000 was to an
Underwriting Agreement, dated March24, 2017 (the Second
Underwriting Agreement), between ATT and J.P. Morgan Securities
LLC, as the representative of the Underwriter. The Notes were
issued to that certain Indenture, dated as of May15, 2013,
between ATT and The Bank of New York Mellon Trust Company, N.A.,
as Trustee. The Notes have been registered under the Securities
Act of 1933, as amended (the Act) to a Registration Statement on
Form S-3 (No. 333-209718) previously filed
with the Securities and Exchange Commission (the Commission)
under the Act. Copies of the First Underwriting Agreement, the
Second Underwriting Agreement, the form of Note and the opinion
of our Associate General Counsel as to the validity of the Notes
are filed as exhibits hereto and incorporated herein by
reference. ATT is filing this Current Report on Form 8-K so as to
file with the Commission certain items that are to be
incorporated by reference into its Registration Statement.
